Global Stock Administration and Payroll Manager

What You Will Be Doing

We are seeking a stellar Senior Stock Administration Manager with a minimum of 10+ years of experience in global equity administration to join the ChargePoint Finance team. Reporting to the Global Stock Administration and Payroll Manager, the successful candidate will be located in our Campbell Headquarters and will be primarily responsible for supporting the day-to-day administration of our global equity plans, including the daily processing of equity transactions in compliance with governing stock plan documents and regulations. The position requires a team player who can work with internal and external stakeholders and who can provide careful work product with minimal supervision in a fast-paced, high-energy environment.

 

What You Will Bring to ChargePoint

This role will be based out of our Campbell office and reporting to the Global Stock Administration and Payroll function within the Finance Department.

  • Own all aspects of the administration of the global equity incentive plans including the online grant agreement processes, timely processing of new equity awards, Option exercises, RSU releases, ESPP purchases, terminations, maintaining data integrity, etc.
  • Design and conduct employee training on the Company’s equity programs, including explanation of plan provisions and education around mechanics of stock options, RSUs, and ESPP.
  • Resolve questions, issues and concerns from employees regarding stock options, RSUs, and ESPP
  • Partner with HR on the evolution and application of the compensation structure
  • Partner with Legal, Finance and HR to ensure that we are in compliance with global reporting and compliance processes, including all equity related regulations when opening up offices in new countries and staying abreast of the ever-changing regulatory landscape in the countries where we already have offices
  • Partner with Payroll to ensure proper tax withholdings including timely taxation and reporting, annual reporting required by tax authorities, and year-end tax statements
  • Partner with Finance and HR to maintain expense and share-count forecasts, equity burn rates, weighted average and dilutive shares for EPS, and other stock compensation modeling
  • Maintain record-keeping of the company’s equity plan and documentation, including eligibility, grant approvals, vesting schedules, and exercises
  • Work with third-party service providers to process transactions in compliance with current US and International rules and regulations, SOX controls and governing stock plan documents
  • Partner with Finance Legal, HR and third-party service providers to generate and review equity reports to support timely SEC filings including Form 10-Q, 10-K and Proxy statements; and ad-hoc reports.
  • Maintain and ensure integrity of the equity database including the process and reconciliation of grants, exercises, new hire, terminations/cancellations, and audits.
  • Coordinate ESPP enrollment and election changes for the global population, collaborating with HR & Finance partners on a regular basis.
  • Partner in New Hire Orientations, Office Hour participation and response to and resolution of simple to complex equity program questions.
  • Generate regular and ad-hoc reports for Payroll, HR, Financial Reporting, Legal, Tax
  • Provide support for other departmental activities or special projects as needed including international tax and securities research and compliance.
  • Reconcile transactions, termination dates, tax withholding and reporting, and other items as required
  • Administer ESPP (US & International), including purchase of shares; facilitate QDs and DDs; monitor ESPP limits
  • Work with vendors for outsourced administration and transactions, focusing on controls, accuracy and timeliness
  • Maintain an effective partnership with Finance, Tax, Payroll and HR departments to effect transaction processing
  • Communicate plan provisions to employees and resolve employee issues or concerns as appropriate
  • Reconcile and approve DWAC
  • Maintain and update documents defining procedures for all plan administration

Requirements

  • 5+ years in stock administration for a multi-national publicly traded U.S. company
  • Strong academic background; Bachelor’s degree preferred
  • Proficient in Excel, Word, PowerPoint
  • Certified Equity Professional (CEP)
  • Advanced analytical ability, attention to detail, strong organizational skills, and ability to multi-task in a fast-paced environment
  • Comprehensive understanding of many different types of equity awards and public company equity programs, across multiple jurisdictions
  • Understanding of global withholding tax requirements
  • Understanding of global reporting requirements
  • Ability to effectively manage support vendors and consultants
  • Hands-on experience with outsourced equity platform preferred
  • E-Trade experience preferred
  • Strong attention to detail with excellent follow-up and follow-through skills.
  • Ability to work and think independently.
  • Commitment and dedication to provide excellent customer service.
  • Solid business judgment with ability to think strategically and plan effectively; be hands on, accurate, with attention to details and results oriented.
  • International experience a must
  • Strong communications skills and teamwork spirit
  • Comfortable speaking to an audience, creating and delivering presentations
