Job Description

Title: Legal Counsel

Department: EEA Legal & Ethics

Reporting to: Head of Legal & Ethics

Location: Paris, France; Brussels, Belgium, other locations can be discussed

Job Purpose/Mission

The EEA Legal & Ethics function works closely with all EEA departments and Country teams to help achieve the business line’s objectives in a legally compliant manner & with smart innovative solutions. 

The Legal Counsel will take a lead role in delivering on this mission, working on a wide range of matters and in close contact with senior EEA team members across locations, reporting directly to the Head of Legal & Ethics. 

The EEA Legal & Ethics function will also include a Legal Counsel (Minigrids) team member focused on the minigrids business, and as such minigrids will not fall directly under this more general Legal Counsel role for EEA. 

Main Activities

  • Provide legal advice to EEA teams across departments and locations on regulatory and local laws, coordinating input from relevant local counsel; 
  • Review, draft and advise on contract negotiations with a wide range of business partners and stakeholders (eg. suppliers / manufacturers, telcos, digital payment platforms, distributors, TV content providers, government agencies); 
  • Support documentation and implementation of financing transactions, including intragroup debt, equity injections and external debt raise from multilateral development banks and commercial banks, in each case working with local counsel and other stakeholders within EEA; 
  • Contributions to cross-cutting Legal workstreams of the EEA Business Line, including data privacy, intellectual property, ethics, and corporate matters; 
  • Lead corporate governance matters for EEA entitiesmaintaining adequate delegations of authority across entities and working with local counsel/EEA management for company resolutions and director appointments/resignations; 
  • Develop template documents, knowledge sharing / central resources and streamlined processes to better and more efficiently serve the EEA teams with their Legal needs and contribute the success of the Business Line.  

Knowledge and skills

Experience: 

  • At least 5 to 7 years of legal practice. 
  • Large law firm experience or in-house experience in multinational company(ies).  
  • Experience working in African jurisdictions and liaising with local counsel  
  • Experience in one or more of the following fields: 
    • Energy services 
    • Project finance 
    • Corporate law / M&A 
    • Commercial law 

Qualifications: 

  • Law Degree (Master’s level) from a reputable university. 
  • Qualification to practice as a lawyer in one jurisdiction also a plus 

Language(s): 

  • English 
  • French is an important plus
