Job Description

Terraformation is seeking a talented and experienced commercial lawyer to support forestry and business development teams on various commercial transactions.  Terraformation’s overall mission is to grow forests on 3 billion acres of land.  Our legal team plays a critical role in enabling Terraformation’s mission by managing legal risks while supporting our global business development and Hawaii-based forestry teams to build strategic long-term commercial relationships and partnerships.

As Senior Commercial Counsel, you will report to our General Counsel and work closely with business teams as the main contact for all commercial transactions and related legal matters, in particular those involving forestry, carbon unit sale and purchase, and real estate or land use matters.  In addition to giving day-to-day legal advice and resolving critical issues that arise in commercial arrangements, you will provide guidance on policy, strategy and regulatory issues faced by Terraformation around the world. 

Responsibilities

  • Prepare, review and negotiate commercial agreements, including carbon unit sale and purchase, forestry collaboration and partnerships, real property and other related arrangements
  • Manage, develop and continuously evolve in-house templates and forms used for various commercial relationships
  • Provide legal support on business development and forestry partnership projects
  • Support corporate transactions, equity and capital raising initiatives and corporate governance-related matters
  • Stay informed on various legal topics material to the business
  • Manage outside and local counsel in a cost-efficient manner
  • Support other legal department initiatives on an as-needed basis

Qualifications

  • JD degree and membership in good standing in a state bar
  • 8+ years of mixed law firm and in-house experience with significant exposure in environmental / carbon emissions transactional and regulatory legal matters
  • International experience highly desirable
  • Strong team player with the ability to critically identify problems, drive projects forward, make complex cost/benefit analysis, and identify pragmatic and creative legal and business solutions
  • Excellent written and oral communications skills
  • Ability to work both autonomously and to juggle competing priorities in a fast-paced, challenging environment
  • Impeccable integrity and ethics, unquestionable good judgment (especially in dealing with ambiguous or uncertain situations)
