Project Canary’s mission is to make net-zero a reality by quantifying climate change and putting actionable insights into the hands of the energy sector. Our diverse and inclusive team of operators, scientists, engineers, and sales leaders know how to network, hustle, and are change-makers by design. We ingest data from various sources, including our own proprietary environmental sensors/hardware, to calculate carbon emissions from different facilities in real-time displayed on a SaaS dashboard. The resulting independent trusted data can inform the procurement of offsets in real-time using micro-transactions, formulate a data-driven ESG strategy that investors now demand, improve operations by identifying problem areas in minutes, and bolster customer engagement through radical supply chain transparency.

Initially, we are focused on the energy industry. With thousands of energy assets analyzed and hundreds of environmental and air quality sensors currently deployed, Project Canary is positioned better than anyone to provide empirical ESG data—and we have the ARR and growing pains to prove it.

The General Counsel will be a part of the Legal team reporting to the CEO. They are responsible for assisting the company by providing legal expertise on contracts, MSUs, NDAs, business sales and renewal agreements, and other ad hoc legal documents. As the first legal expert hired for an early-stage, tech startup, this person would own, advise, create, and drive all legal-related matters for the company. An ideal person would have a strong legal acumen but be open-minded about innovative solutions and help the company scale.

Responsibilities

  • Provide advice and counsel to the company on complex technology transactions, privacy and non-disclosure agreements, intellectual property matters, compliance and governance items, employment law, and other business-related legal topics
  • Partner across multiple business stakeholders including Sales, Customer Success, Operations, Finance, Technology, and People on legal-related matters
  • Drafting and reviewing all legal documents for the company such as NDAs, MSUs, business sales and renewal agreements, and other ad hoc documents
  • Finding a good balance between corporate governance and compliance without limiting innovation or creating unnecessary bottlenecks
  • Handle multiple legal projects and documents in a timely fashion to meet deadlines and help push the business forward
  • Negotiating and representing the company in litigation matters

Qualifications

  • J.D. from an ABA accredited law school
  • 5+ years of experience advising on legal, and contract matters for a tech company with a lens for unique agreements
  • Experience with B2B SaaS transactions and software/hardware licensing
  • Prior experience with early-stage B2B SaaS startup highly preferred
  • IP strategy experience would be a bonus
  • Knowledge of legal matters related to ESG, climate change and other regulatory matters helpful
  • Industry specific knowledge in Oil and Gas, Agriculture, Waste Management and Utilities helpful
  • Experience or knowledge in working at a B-Corp is ideal
  • Must reside near the Denver area (Open to hybrid approach once onboarding is complete)
