Intro Paragraph
Our 60-strong team in France is looking for a Transaction Manager (Full time, permanent contract) to support our project finance, M&A/sales and development activities in France and Italy.
You will work in close collaboration with the various departments (Legal, Business Development...) in France and Italy, as well as with the expertise divisions (Engineering, Purchasing, Transactions...) at the head office in Berlin.
You will be part of a team of 4 people and will report to the Head of Finance France and Italy and Deputy General Director France who will supervise the PF, M&A and Sales projects you will be leading on.
The successful candidate can be based in France or Italy and work fully remotely Your Job
  1. Project finance and M&A/sales
  • Provide market understanding to (i) the analyst team on PF/Sales assumptions to be using in in-house financial models and to (ii) the management to help on the projects strategy definition
  • Raising various type of debt (senior, junior, mezzanine, etc.) and equity (specifically crowdfunding) and running M&A/sales activities incl.
    • Selection of financial advisors (when needed)
    • Reviewing of the Data Room and assisting in the Due Dilligence activities (advisors selection, Q&As…) along with the help of the Transaction Services Department of the company
    • Tendering/negotiating external contracts as necessary (insurances, RtM..) as well as reviewing internal contracts (O&M, EPC, AM)
    • Negotiating relevant project documents (Facility, SPA, DSA, ancillary…)
    • Create, update and review financial models for the transaction (using company templates)
    • Making presentation/recommendations on ways forwards to the project Steering Committee at each stage gates 
    • Reporting to management regarding timeline, project status, feasibility, project risks and budgets
    • Drafting Investment Papers for Board/Shareholders approvals
  • Managing any other task required to bring a project from fully-permitted stage, towards financial close and NTP and eventually sale
  • Reporting on transactions completed and lead on any post transaction obligations (along with the AM department for PF activities)
  • Attending networking events and managing stakeholder relationship
  1. On a ad hoc basis your task will also include financial analysis
  • Creating, updating and reviewing financial models, project analysis and design optimizations (from technical & economical perspective) to support development and origination activities
  • Monitoring the renewable energy market over technical, financial, tax and economical aspects
  • Supporting in the preparation and submission of the project to the French CRE tender, if necessary
  • Updating the quarterly report of project portfolio valuation
  • Reviewing and challenging analysis performed by the pool of analysts
Your profile
  • Outstanding financial modelling skills (VBA is a plus) 
  • 5/8 years prior experience in raising financing and/or M&A/sales 
  • Prior experience within the infrastructure fields (ideally renewable energies / photovoltaics / BESS) 
  • Affinity with legal, technical and financial feasibility of renewable projects
  • Flexible, creative, critical thinking and entrepreneurial attitude
  • Multitasking and performs under pressure
  • Self-driven and independent work talent, performs well in a team
  • Attentive to details while overseeing the bigger picture
  • Fluent in French, professional level in English is required 
  • Master’s or bachelor’s degree in a relevant area of expertise
