<div><b>POSITION OVERVIEW:  </b></div><div><span style="font-size:11pt;">The Paralegal role will draft, review, and manage contracts and legal documents, with a focus on customer agreements, vendor agreements, board meeting minutes and other support required by the General Counsel at Velo3D. The ideal candidate will bring extensive paralegal experience to provide comprehensive contract support to the legal department of Velo3D, a 3D printing capital equipment manufacturing company serving industrial customers such as SpaceX.</span></div><br><br><h3>Essential Functions</h3><ul><li> Under the guidance and direction of the General Counsel, you will draft, review and negotiate a wide range of commercial agreements including software licenses, consulting and other services agreements, SaaS agreements (including data protection agreements), hardware purchase agreements, and other agreements.</li><li>Review, make changes to, and negotiate counter party paper and adapt Velo3D templates as needed for various transactions.</li><li>Develop, implement, and maintain efficient and effective systems for managing information, projects, and workflows to ensure accurate and timely responses.</li><li>Assist with corporate governance duties, including the preparation of minutes and resolutions and the maintenance of the books and records for each entity.</li><li>Quickly escalate issues to appropriate internal teams where needed and collaborate with those teams to find creative solutions.</li><li>Participate in recurring meetings with legal colleagues and business partners to build a knowledge of Velo3D’s business and determine how to prioritize work.</li><li>Collaborate with colleagues within the Legal department to contribute to internal projects, including updates to contract templates and other internal tools and reference materials.</li></ul><h3>Qualifications</h3><ul><li>You hold a Bachelor's degree or equivalent practical experience and a paralegal certificate from an ABA-approved program.</li><li>You have 8+ years of experience as a paralegal, ideally with technology clients with a wide array of legal documents and contractual agreements</li><li>You excel in collaborating with teams across Velo3D (e.g. commercial, human resources, operations, finance) and external organizations (e.g. customers, vendors)</li><li>You can manage the entire contract process from request to execution under supervision.</li><li>You show the ability to work reliably to meet goals with attention to detail.</li><li>You have a high level of professionalism and motivation, and ability to work autonomously and collaboratively in a fast-paced environment.</li></ul><br><div><b>About the Company:</b></div><div> </div><div>Velo, Velo3D, Sapphire and Intelligent Fusion are registered trademarks of Velo3D, Inc.
