Position: Associate Legal Counsel, Remote United States

We are a small but very busy legal team, and we have an immediate opening for an experienced in-house legal counsel looking to contribute their legal expertise towards a mission-driven organization. This position will report to the Director of Legal with a primary focus on commercial contracts management, compliance, privacy and general corporate matters. As a part of this team, you'll be the primary point of contact for all contract matters from internal business units, vendors, and third-parties while considering various related legal, business and intellectual property issues. The successful candidate will be an effective business partner who is able to provide sound yet practical advice to our internal business units in the contracting process. Title and compensation to be commensurate with experience.

Responsibilities

  • Corporate/Commercial Generalist. First and foremost, you will be a legal generalist and support various legal team tasks and projects. We currently envision this to be roughly 75% of your responsibilities. Projects will include:
  • Contracts – a wide range of service-level agreements and related SOWs, nondisclosure agreements, material transfer agreements, lease agreements, and B2B collaboration agreements.
  • Assist in the creation and updating of template agreements
  • Engage in employee training with our contract management platform (Ironclad) to support efficient contracting processes.
  • Act as the primary attorney for all internal business unit questions and external negotiations with third parties with regards to commercial agreements.
  • Compliance – advise and partner with internal stakeholders around compliance issues related to marketing and advertising, data privacy, cybersecurity, product offerings, and regulatory.
  • General Corporate Matters – advise and partner with internal stakeholders around matters related to employment law, litigation and insurance.
  • Legal Operations. You will support, develop and organize the legal operations function directly with the Director of Legal. We currently envision this to be roughly 25% of your responsibilities. You will work to ensure that the operations of the Legal Team are efficient and streamlined. Among other things, the legal operations function entails administering, maintaining, updating and operating various operations and tools used by the by the legal team and broader organization including:
  • Contract management tools (Ironclad, DocuSign)
  • Legal operations and organization wide policies and playbooks
  • Employee trainings and workshops

What We’re Looking For

  • Education/Qualification: JD degree, and either California bar (or eligibility to become a registered in-house counsel) with excellent academic credentials
  • Experience: 3-5 years of experience at a law firm or in-house. Experience reviewing a wide range of commercial agreements in life science or agriculture-related fields is strongly preferred.
  • Technical skills: Fluent in MS Office. Ability to learn and develop best practices around the use of software and operations tools. Contract management and legal operations software experience is a plus.
  • Soft skills: Detail oriented but able to see the big picture. Ability to eloquently distill and communicate complex topics broadly to senior leadership members, front-line team members and everyone in between. Excellent oral and written communication skills, organizational skills and ability to prioritize and work independently. You are proactive and have a positive attitude with a can-do, service-oriented mentality.
  • Team player: Focused on achieving and/or helping others achieve company objectives. Practical, proactive, business-savvy and results-oriented.
  • Entrepreneurial: Self-starter with a high degree of ability to work autonomously in a fast-paced environment.
  • Discipline:Impressive time management skills and ability to balance multiple projects and tasks with various stakeholders while meeting deadlines on time sensitive projects.
  • Precision: Sharp attention to detail with a natural feel for drafting and contracts, and have a high degree of accuracy in a fast-paced, results-oriented environment.
