We are seeking an experienced Legal Counsel to provide comprehensive legal support and guidance as we scale our operations internationally.As our Legal Counsel, you will play a critical role in shaping the legal framework that supports our mission while enabling us to scale efficiently and responsibly.YOU’LL MAKE AN IMPACT BY<ul><li>Legal Strategy &amp; Advisory<ul><li>Acting as the primary legal advisor to the executive team, offering strategic counsel on legal risks and opportunities.</li><li>Providing proactive advice on compliance with Dutch/EU, US, UAE and Canadian regulations.</li></ul></li><li>Corporate Governance &amp; Compliance<ul><li>Ensuring compliance with corporate governance requirements under the relevant law, including shareholder agreements, board resolutions, and regulatory filings.</li><li>Monitoring and managing compliance with GDPR and other data protection regulations applicable in the EU.</li></ul></li><li>Contract Management<ul><li>Drafting, reviewing, and negotiating a wide range of commercial agreements, including customer supply agreements and SLA’s, vendor agreements, project agreements, partnership deals and NDAs.</li><li>Ensuring all contracts align with the relevant legal standards and business objectives.</li></ul></li><li>Risk Management &amp; Dispute Resolution<ul><li>Identifying, assessing, and mitigating legal risks associated with business operations in the Netherlands and abroad.</li><li>Managing disputes, claims, and regulatory investigations, collaborating with external counsel when necessary.</li></ul></li><li>Policy Development <ul><li>Developing and implementing internal policies to ensure legal and regulatory compliance.</li><li>Provide training to employees on topics such as data protection, compliance, and intellectual property, and create guidance documents.</li></ul></li><li>IP &amp; Equity Management<ul><li>Managing legal processes around the company’s intellectual property, including trademarks, copyrights, and patents.</li><li>Overseeing legal aspects of equity structures, including employee stock options and investor agreements.</li></ul></li></ul>WHAT WE ARE LOOKING FOR<ul><li>Master’s degree in Law (LLM) from a recognized university.</li><li>Minimum of 5 years of post-qualification experience, with at least 1 year in a startup or high-growth environment.</li><li>Admission to the Dutch Bar Association (advocaat) or equivalent.</li></ul><ul><li>Deep understanding of Dutch corporate law and laws of England &amp; Wales, and EU regulatory frameworks.
