Job Mission
 
Terraformation’s legal department plays a critical role in enabling Terraformation’s mission by managing legal and regulatory risks while supporting our reforestation and seed bank projects globally.  As Corporate Counsel, you will work closely with our business development, forestry partnership, marketing, finance as well as other legal team members to support our reforestation and seed bank projects, covering a wide range of matters from sales to construction and delivery of our seed bank as well as other forestry related matters.  In addition to giving day-to-day legal advice and resolving critical issues that arise in reforestation and seed bank projects, you will provide guidance on policy, strategy and regulatory issues faced by Terraformation around the world.
  
 
Location:  Remote (Hawaii state and PST areas preferred)

Responsibilities

  • Advise and support forestry, finance, business development and product teams on transactional and regulatory matters
  • Draft and review various corporate and commercial contracts and templates, including sponsorship agreements, financing agreements, vendor / supplier as well as manufacturing agreements
  • Provide legal support on seed bank and forestry projects
  • Support corporate transactions, marketing and communication initiatives, and corporate governance-related matters
  • Stay informed on various legal topics relevant to the business
  • Manage outside and local counsel in a cost-efficient manner
  • Support other legal department initiatives on an as-needed basis

Minimum Qualifications

  • JD degree and membership in good standing in a state bar
  • 5+ years of law firm and/or in-house experience, with exposure in agriculture, real property and/or construction law
  • Strong team player with the ability to critically identify problems, drive projects forward, make complex cost/benefit analysis, and identify pragmatic and creative legal and business solutions
  • Excellent written and oral communications skills
  • Ability to work both autonomously and to juggle competing priorities in a fast-paced, challenging environment
  • Impeccable integrity and ethics, unquestionable good judgment (especially in dealing with ambiguous or uncertain situations)

Preferred Qualifications

  • Familiarity with international / cross-border transactions
