Job Overview

The Associate Corporate Counsel will work closely with and under the guidance of the CFO (who also serves as General Counsel) to advise corporate leadership and business managers on a variety of business law issues, including but not limited to: contracts, business initiatives, corporate governance, international and legal compliance issues. The Associate Corporate Counsel needs to be practical and business-minded, with an ability to present real-world pragmatic advice and guidance.

 

Roles and Responsibilities

  • Negotiate commercial contracts globally including vendor and customer agreements, and nondisclosure agreements
  • Oversee contract administration and develop upon existing structure to make legal process more efficient for a fast-growing company
  • Update corporate agreement templates for contractors, international representatives, nondisclosure, etc.
  • Prepare legal guidance documents to provide authority and best practices for business unit leaders
  • Manage trademark and patent issues, and support outside counsel with ongoing filings
  • Advise on Human Resources-related legal compliance matters, as needed
  • Review insurance coverage issues; collaborate with CFO and QA team on risk management planning
  • Support subsidiary formation and oversight
  • Research, review and advise on legal issues ranging from international law, privacy/data security, tax and various other corporate matters
  • Create or identify appropriate training modules for critical legal topics such as our confidentiality responsibilities
  • Work with CFO to engage outside counsel as necessary

Minimum Qualifications

  • A Juris Doctorate preferred or equivalent practical experience
  • Experience as corporate counsel or with law firm preferred
  • Accountable, flexible, driven and excited to roll up sleeves and dig in with this hands-on role
  • Outstanding organizational and analytical skills
  • Strong communication skills and the ability to prioritize and deliver on multiple simultaneous projects
  • Desire and ability to interact and collaborate effectively with variety of personalities across diverse internal groups, teams, division, and cultures.
  • A keen business sense, the skills to find creative solutions to legal issues, and the ability to effectively balance legal risks against business interests
  • Desire to grow with a complex, fast-paced, mission-driven organization
  • Must have received or be willing to receive the COVID-19 vaccination by date of hire to be considered, unless precluded by local and national jurisdiction. Pursuant to local and national law--proof of vaccination required. Medical and religious accommodations will also be considered.

This is an office based job.  Sit 6+ hours per day.  Keyboarding 6+ hours per day.  Must be able to speak and listen in person and on the phone.
