We are looking for an experienced Assistant Company Secretary to play a key role in our newly established Governance, Regulatory, Insurance & Compliance (aka ‘GRIC’) function. You will be supporting over 20 of the group’s international subsidiary companies and will work alongside a corporate team that support the US headquartered parent company. The role encompasses a full suite of day-to-day company secretarial services supporting the subsidiary company boards and wider business at one of the fastest growing startups in history. For this new and exciting position you will be full or part Chartered Governance Institute (previously ICSA) qualified or equivalent, with company secretarial experience in a large international business including briefing senior executives, working with external advisers (tax, legal, accounting) and across cross-functional teams to deliver transformational outcomes in this space.
This is a hybrid position working both remote and in the London office.

What You'll Do:

  • You will be the main point of contact for all subsidiary company secretarial queries and will manage a direct report;
  • Assist the Senior Legal Director - GRIC in ensuring the highest levels of corporate governance practices are consistently met in the subsidiary company jurisdictions and partner closely with the Corporate team in the US;
  • Prepare agenda and board packs for subsidiary company board meetings;
  • Attend subsidiary company board meetings and draft minutes and resolutions;
  • Create and follow up meeting action lists;
  • Maintain statutory paperwork;
  • Assist with on-boarding new directors;
  • Seek efficiencies, consistency and best practice in the running of boards and committees across the subsidiary companies;
  • Manage the issue of board-delegated powers of attorney;
  • Liaise with external providers of compliance services, legal firms, auditors etc.;
  • Process KY requests;
  • Collate and provide corporate information at the request of the business.

About You:

  • Chartered Governance Institute (previously ICSA) or equivalent qualification (full or part) preferable, although candidates with relevant experience in a similar role will be considered.
  • Experience of attending board meetings and taking and writing minutes and preparing meeting packs.
  • A demonstrated ability to communicate effectively at all levels; able to develop and maintain key relationships.
  • Experience of working in a large international group, with a number of international subsidiaries.
  • Good understanding and practical application of company secretarial practices and corporate governance best practice.
  • A highly motivated individual with good influencing skills and the ability to work well with senior management, as well as having the gravitas needed to gain their trust.
  • Good organisational, prioritisation and time-management skills.
  • Fluency in English (written and verbal) required. Any other languages are beneficial.
