As the Senior Partner, Stock Administration, you will be responsible for delivering Equity administration and services that will support and enable Cruise as we scale and work towards the attainment of our ambitious mission!

This role reports to the Head of Compensation, and we are open to this role being performed remotely.

What you’ll be doing:

Stock Administration core activities:

  • Lead administration of the RSU, Stock Option programs, and any equity programs including any tender offers
  • Maintain integrity of data in the stock administration database (Solium Shareworks), working across departments and with executive management
  • Develop improvements in process and automated solutions for the stock administration function
  • Lead new grant process, documentation and compliance requirements

Compliance & Reporting:

  • Own and maintain SOX compliance related to the equity process
  • Ensure compliance with all domestic and international laws for income and tax withholdings for stock options/ RSUs
  • Monitor the compliance of equity transactions with the documented terms, ensuring wires are prepared, legal documents are received, and work with external brokers
  • Complete control steps in support of stock-based compensation accounting entries
  • Prepare applicable tables and provide appropriate information for use in the annual statements
  • Provide external reporting and tax support for quarterly reporting requirements
  • Work with payroll to ensure taxes are properly withheld for exercises and W-2s are accurate
  • Generate recurring reports for multiple internal and external corporate partners (HR, Payroll, Finance, Accounting, etc.), and respond to ad-hoc data requests on a timely basis
  • Day to day responsibilities include trading, reporting and coordinating with other functional teams and external parties

Enablement & Support:

  • Provide excellent customer service to all equity participants and respond timely to employee questions
  • Provide regular training and education to participants in our stock plan.
  • Develop onboarding program for equity and participate in the onboarding process for new hires to ensure they are clear on the process
  • Develop and maintain communications and education materials for the company

What you must have:

  • You have significant experience (8+ years) building and handling equity administration for private and publicly traded companies
  • You have implemented and managed an equity platform to ensure all equity plan transactions (grants, exercises, etc.) are correctly processed in a timely manner, and to maintain data integrity and ensure accuracy of equity plans.
  • Experience with sophisticated M&A equity deal consideration
  • You have a solid understanding of the U.S. Federal and state taxation for equity compensation to ensure global equity reporting and compliance with international tax and regulatory requirements.
  • You can coordinate the day-to-day including: loading of new equity grants, ensuring accurate approvals and controls are in place; prepare reports on a periodic basis for tracking of the equity; promptly answer questions related to the equity plan; reconcile transactions, termination dates, tax withholding and reporting, and other items as required; generate and analyze recurrent and ad-hoc equity reports for multiple internal and external corporate partners (e.g., HR/Total Rewards, Payroll, Tax, Legal, Finance, etc.).
  • You have in-depth knowledge of equity administration including: SEC filings, Directors and Officers compliance & reporting including Section 16 compliance and related Proxy reporting requirements.
  • Ideally, you have experience with Google Suite, Workday, and Shareworks
  • Certified Equity Professional (CEP) and/or CPA preferred
