The Senior Paralegal will also serve as a mentor and resource for junior team members.RequirementsKey Job Responsibilities<ul><li>Lead the full lifecycle of corporate entity management, including formation, maintenance, dissolution, and compliance across jurisdictions.</li><li>Manage and maintain corporate minute books, ownership ledgers, organizational charts, and subsidiary structure records; ensure all documentation remains audit-ready and compliant with regulatory requirements.</li><li>Draft and prepare board and shareholder resolutions, consents, certificates, and other governance documents with minimal supervision or attorney oversight.</li><li>Oversee formation, structuring, and maintenance of corporate entities, draft and file formation documents, amendments, dissolutions, and foreign qualifications.</li><li>Coordinate annual compliance filings, including those related to tax authorities, Secretary of State offices, and licensing bodies.</li><li>Draft and review a wide range of commercial agreements (e.g., NDAs, consulting agreements, service contracts) under attorney supervision.</li><li>Take ownership of the contract lifecycle process, from intake and redlining through execution, archiving, and obligation tracking.</li><li>Implement and enhance contract management systems; develop tools to monitor obligations, milestones, and risks.</li><li>Partner with internal business units (Finance, Development, Procurement, etc.) to ensure cross-functional legal alignment.</li><li>Provide support for M&amp;A, joint ventures, and financing transactions, including due diligence, data room management, and closing logistics.</li><li>Manage document checklists, coordinate signature processes, and assist with post-closing tasks.</li><li>Support corporate restructurings, intercompany agreements, and compliance with internal controls.</li><li>Track and help manage active litigation matters and legal holds.</li><li>Respond to subpoenas and regulatory inquiries in coordination with outside counsel.</li><li>Assist in drafting and maintaining corporate policies and internal legal templates.</li><li>Support compliance initiatives and legal risk assessments</li><li>Serve as a primary point of contact for junior paralegals and administrative support staff.</li><li>Develop, maintain, and improve internal legal operations processes and systems, and train new legal hires on corporate governance and other compliance procedures.</li><li>Monitor and ensure company compliance with applicable laws, regulations, and internal policies, including but not limited to FERC, state corporate laws, and tax compliance.</li><li>Contribute to knowledge management efforts by creating SOPs and checklists.</li><li>Assist in drafting, maintaining, and implementing corporate policies, internal legal templates, and compliance training materials.</li><li>Track and support the management of litigation, legal holds, claims, subpoenas, and dispute resolution matters in coordination with outside counsel.</li></ul> Required Education<ul><li>Paralegal Certificate (ABA-approved)</li><li>BA/BS degree, Preferred</li></ul> Required Experience<ul><li>10 plus years of experience working in a corporate legal environment, with a focus on corporate entity management.</li><li>Strong understanding of corporate governance, general corporate and contract law and legal operations.</li><li>Experience in renewable energy a plus</li><li>Experience with entity formation and maintenance, including drafting of formation documents, filing with state and federal agencies, and maintaining accurate corporate records.</li></ul> Other Skills<ul><li>Familiarity with legal and compliance technology and systems.</li><li>Strong attention to detail with the ability to manage multiple priorities and meet deadlines in a fast-paced, dynamic environment.</li><li>Excellent written and verbal communication skills, with the ability to effectively interact at all levels of the organization.</li><li>Proven ability to work independently and take initiative, while also collaborating effectively with internal teams, external partners, legal counsel, and regulatory agencies.</li><li>Demonstrated sound judgment, adaptability under pressure, and discretion in handling confidential information.</li><li>Strong interpersonal skills with the ability to anticipate needs, problem solve and follow through on commitments.</li><li>Experience with e-billing, matter management systems, and vendor onboarding within payment platforms.</li><li>Notary public certification.</li></ul> Physical Requirements The Paralegal may be required to endure the following physical activities, environmental conditions, and physical demands:<ul><li>Moving self in different positions to accomplish tasks in various environments including tight and confined spaces,</li><li>Remaining in a stationary position, often standing, or sitting for prolonged periods,</li><li>Moving about to accomplish tasks or moving from one worksite to another,</li><li>Adjusting or moving objects up to 20 pounds in all directions,</li><li>Communicating with others to exchange information,</li><li>Repeating motions that may include the wrists, hands and/or fingers, and</li><li>Assessing the accuracy, neatness and thoroughness of the work assigned.</li></ul>
