The successful candidate will demonstrate sound industry knowledge, superior communications and detail-oriented organizational skills. This role reports to our Associate General Counsel, Transactions. We are searching for a Corporate Transactional Paralegal to join our legal team at Avantus. The Paralegal will provide legal, transactional, compliance and administrative support across multiple cross-functional teams, including project finance and development teams, with an emphasis on transaction closings and contract preparation and execution.  The ideal candidate will have a proven track record as an in-house or law firm corporate or transactional paralegal with experience supporting closings for complex project finance, M&amp;A or similar transactions, as well as contract review and preparation, entity management and corporate governance.  ESSENTIAL FUNCTIONS AND RESPONSIBILITIES <ul><li>Support transaction closings, including preparing disclosure schedules, officer's certificates, resolutions, assignment agreements and other ancillary closing deliverables, coordinating and tracking signature pages, obtaining good standing certificates and lien searches, understanding closing conditions, monitoring and updating closing checklists, keeping track of deliverables required from numerous third parties, and working closely with outside counsel, internal stakeholders and project partners to meet closing timelines.  Understanding of M&amp;A and project finance closings is a plus.</li><li>Review and assist with preparation and negotiation of standard contracts, including non-disclosure agreements, master services agreements, consulting agreements and basic amendments and change orders.</li><li>Handle a variety of corporate governance and entity management tasks, including formation of entities, preparation of operating agreements, assignment agreements and corporate resolutions, coordination of document execution and required internal approvals and maintenance of corporate files, contracts and closing sets.</li><li>Maintain our corporate organizational chart and support know your customer (KYC) and regulatory requests from financing parties and respond to requests from internal stakeholders for corporate records and information for RFPs.</li><li>Assist with compliance matters and implement corporate policies and related procedures, including periodic confirmatory checks of representations and warranties, our document execution process and our internal approval process.</li><li>Work collaboratively with other legal team members, cross-functional teams (including project finance, corporate finance, EPC, procurement, land and development teams) and other internal stakeholders at all levels of the company.</li><li>Support the legal team and cross-functional teams on special projects, general corporate work and administrative tasks. </li></ul>REQUIRED SKILLS AND QUALIFICATIONS<ul><li>Bachelor’s Degree, paralegal certificate preferred, but not required.</li><li>Minimum of 4 years of corporate or transactional paralegal experience in an in-house legal department or at a law firm</li><li>Previous experience in the renewable energy industry preferred, but not required; however, excitement about renewable energy and sustainability is a must-have.</li><li>Transactional experience in any combination of project finance, M&amp;A and/or project development and familiarity with closing mechanics and documentation.</li><li>High level of accuracy, attention to detail and excellent proofreading skills.</li><li>High level of organizational skills and time management skills.</li><li>Excellent written and oral communication skills required to communicate effectively with direct team members, across multiple departments and with external counterparties.</li><li>Strong analytical skills with ability to read, comprehend and summarize legal documents and contracts.</li><li>Strong interpersonal skills with the ability to interact with team members at all levels of the company in a congenial, collaborative manner.</li><li>A resourceful problem solver with the ability to operate autonomously and efficiently and to figure out solutions proactively and independently.</li><li>Ability to pivot between responsibilities to meet tight deadlines and shifting demands and priorities.</li><li>An entrepreneurial attitude and work ethic with a desire to roll up your sleeves and get the job done in a fast-paced environment and rapidly growing business.</li><li>Willingness to be flexible about your work schedule to support closings and to meet deadlines.</li><li>Proficiency in Microsoft Office.</li></ul>  #LI-Remote<div><div><div>Avantus offers competitive compensation with an excellent benefits package, including 401(k) matching; comprehensive medical and dental plan options; and flexible PTO.
