Job Purpose The Junior Company Secretary will be a motivated and detail-oriented professional, supporting the corporate governance and compliance requirements of our asset management business. The role provides exposure to board processes, regulatory reporting, and fund structures, while offering a strong career development pathway within governance and company secretarial practice. Key Duties and ResponsibilitiesBoard &amp; Committee Support<ul><li>Assist in the preparation and circulation of board and committee packs.</li><li>Take minutes of meetings and follow up on action items.</li><li>Maintain the annual calendar of board/committee meetings.</li></ul> Statutory &amp; Regulatory Compliance<ul><li>Maintain statutory registers and company records across group entities.</li><li>Assist with filings at the Companies Registry (e.g., CIPC/Companies House) and with regulators where required.</li><li>Support compliance with the Companies Act, financial services regulations, and asset management/fund governance requirements.</li></ul> Corporate Governance<ul><li>Support the implementation of governance frameworks and policies.</li><li>Assist with director onboarding and training.</li><li>Conduct research on evolving governance and regulatory requirements.</li></ul> Entity &amp; Fund Administration<ul><li>Coordinate incorporation of new entities and changes to existing structures.</li><li>Support documentation and record-keeping for funds, trusts, and SPVs.</li><li>Liaise with external legal advisers, auditors, and service providers.</li></ul> General Support<ul><li>Maintain an organised filing system (electronic and physical).</li><li>Provide administrative and project support to the Company Secretary and senior governance team.</li></ul> Qualifications, Skills and Experience<ul><li>Degree in Law, Finance, Governance, or related discipline.</li><li>Progress toward or interest in studying for the Chartered Governance Institute (ICSA/CGISA) qualification.</li><li>1–2 years’ experience in a company secretarial, legal, compliance, or governance role (internship experience considered).</li><li>Strong understanding of corporate governance principles and company law.</li><li>Exposure to asset management, financial services, or fund structures is desirable.</li><li>Experience working with multiple entities, SPVs, or cross-border jurisdictions is desirable.</li><li>Excellent verbal and written communication skills.</li></ul><ul><li>Highly organised, structured, and logical thinker with the ability to think laterally.</li><li>Collaborative team player with exceptional interpersonal and influencing skills.</li><li>Strong organisational and administrative skills with attention to detail.</li><li>Proactive, resourceful, and eager to learn.</li><li>Proficient in MS Office (Word, Excel, PowerPoint) and comfortable with board portal software.</li></ul> Behavioral Competencies/ Role and Culture Fit<ul><li>Devotion to quality: Demanding a high quality of provided services, and acting accordingly</li><li>Performing under pressure: maintaining an effective performance under pressure, or when faced with setbacks and disappointment</li><li>Planning: systematically organising activities and setting time frames, setting priorities</li><li>Results orientated: being focused on achieving objectives and results, persevering in the face of adversity</li><li>Organizational sensitivity: recognising the impact of one’s own decisions or actions on other parts of the organisation</li><li>Social skills: being able to successfully establish contact with others</li><li>Analyzing and forming opinions: being focused on examining matters in a systematic way</li></ul><ul><li>Ability to work in a fast paced, performance driven environment essential.</li></ul> </div></div>
