You will lead the Corporate legal team and provide strategic legal advice and business partnership acting as a key advisor to senior leadership on a wide range of corporate and related matters aligned with the company’s long-term objectives.  This role involves managing complex employment litigation, employment policies and procedures, people strategy and risk, employee relations.The position is a new role aligned with the growth strategy of our business and sits within our EMEA Legal team, though you will work closely with our Group Strategy and Corporate Development team, as well as Group Finance and business stakeholders to provide advisory and strategic input on the full range of corporate activity of the Group.Role Responsibilities<ul><li>Lead lawyer for the EMEA business on all corporate matters impacting the EMEA region, working closely with senior managers and stakeholders across EMEA, the AMERICAS and APAC.</li><li>Managing the legal aspects of, and project management in relation to mergers and acquisitions (M&amp;A) across the EMEA region, including conducting and managing due diligence processes, preparing, advising on and negotiating transaction documents, facilitating the successful execution of transactions.</li><li>Drive legal input into corporate development projects, including capital markets activity and regulatory change.</li><li>Drafting, negotiating and advising on joint venture and shareholder arrangements.</li><li>Advising on and running strategic projects and initiatives across the EMEA region, including intra-group reorganisations, disposals and the establishment of new regulated and non-regulated business initiatives.</li><li>Managing, drafting and negotiating various commercial contracts, where required, including customer documentation, licensing, technology procurement and support, non-disclosure, market data, exchange and clearing agreements.</li><li>Providing general legal, commercial and other advice on general corporate, commercial,  M&amp;A, anti-trust, property and intellectual property matters in EMEA.</li><li>Being a trusted partner in advising senior stakeholders —understanding business objectives, coaching stakeholders toward optimal outcomes, and consistently balancing commercial ambition with legal risk and the Group’s strategic priorities.</li><li>Collaborating with the broader TP ICAP in-house legal teams in EMEA, Americas and APAC .</li><li>Working closely with business and support and control divisions of TP ICAP (including, but not limited to: Technology, Tax, Compliance, Company Secretarial, Finance, Risk and Operations) to support business initiatives and mitigate legal risk.</li><li>Manage relationships with external counsel and ensure cost-effective legal support.</li></ul>Experience / CompetencesEssential<ul><li>Strong post qualification experience working in a City law firm or in-house specialising in  corporate/M&amp;A and/or commercial agreements, ideally in a global financial institution.</li><li>Proven track record in leading and advising on cross-border corporate transactions in both a public and private context including knowledge of the UK Listing Rules, Takeover Code,  UK Companies Act, corporate governance codes, and financial services regulation</li><li>Ability to translate complex legal issues into strategic business initiatives and practical solutions.</li><li>Attention to detail with excellent communication and interpersonal skills;</li><li>Collaborative team player who thrives in a small, dynamic legal team;</li><li>Excellent communication skills and ability to build relationships and inspire confidence in business and functional stakeholders at the senior management level;</li><li>Strong leadership and team managements with experience managing legal teams and external counsel across multiple jurisdictions.</li><li>University level degree.</li><li>Solicitor of the Senior Courts of England and Wales (or equivalent).</li></ul> Job Band &amp; Level <ul><li>Manager / 7</li></ul>#LI-Hybrid #LI-MIDNot The Perfect Fit?Concerned that you may not meet the criteria precisely?
