And that’s where you come in.About the Position: To ensure compliance with corporate governance rules, regulatory obligations, and provide strategic legal support across the APAC business. The Senior Legal Counsel will play a pivotal role in safeguarding the company’s legal interests while enabling business growth and operational efficiency. Key Accountabilities:Corporate Governance &amp; Compliance <ul><li>Oversee implementation of corporate governance actions in line with relevant laws and regulations. </li><li>Ensure timely and accurate performance of regulatory and legislative obligations. </li><li>Supervise maintenance of company registers and legal documentation.</li><li>Interacting with the compliance function.</li></ul>Legal Advisory &amp; Business Support <ul><li>Provide senior-level legal support to business units across APAC, including Japan-based and India-focused operations.</li><li>Advise on complex legal matters including M&amp;A, finance transactions, and intellectual property. </li><li>Draft, review, and negotiate commercial contracts, NDAs, and strategic agreements. </li><li>Taking conduct of significant Indian based legal matters.</li><li>Interpreting, negotiating and closing out complex deals for the Rail Sector Business Unit in India.</li><li>Interpreting and guiding senior management in relation to regulatory and legislative requirements.</li><li>Taking conduct of significant arbitrations and litigations.</li></ul>Stakeholder Engagement <ul><li>Build and maintain strong relationships with internal stakeholders, including Interfacing with senior management of Indian Hitachi Rail entity.</li><li>Coordinate and instruct external legal counsel to ensure quality and cost-effective legal services. </li></ul>Risk Management &amp; Strategy <ul><li>Identify legal risks and develop mitigation strategies. </li><li>Support strategic planning and decision-making with legal insights. </li></ul>Performance Criteria <ul><li>Timely compliance with legal and regulatory deadlines. </li></ul><ul><li>High quality and accuracy of legal outputs. </li></ul><ul><li>Effective stakeholder engagement and internal client satisfaction. </li></ul>Education/Qualifications and Skill Sets Preferred: <ul><li>Law degree (LLB or JD) and admission to practice in relevant jurisdictions. Additional CS qualification and experience will be valuable too.</li><li>Minimum 8-10 years PQE, with a mix of private practice and in-house experience, preferably with experience at an international industrial company.</li><li>Proven track record in corporate law, regulatory compliance, and contract negotiation. </li><li>Experience working across APAC jurisdictions and in a multinational industrial company is highly desirable.</li><li>Knowledge and experience gained in rail, oil &amp; gas, power, aero, or the automotive industry sectors would be highly beneficial</li><li>Demonstrated interpersonal skills and communication ability to work in a culturally diverse organization and with multiple key stakeholders.</li></ul>#LI-AV1Thank you for your interest in Hitachi Rail.
