Associate General Counsel – B2B

Perfect Day’s Legal Department is seeking a commercial attorney with broad transactional and counseling experience to serve as a key partner and business strategist to the company’s global B2B ingredient business. This attorney will be passionate about both our mission to create a kinder, greener tomorrow and creating & leveraging solution-driven strategies to enable the growth and success of Perfect Day’s animal-free dairy proteins. This position reports directly to the General Counsel and may be remote or located in our Berkeley, CA headquarters. 

Key Responsibilities include:

• Function as lead counsel to the B2B business unit while collaborating with the other members of the Legal team.
• Review, draft, and negotiate all domestic and international commercial agreements such as supply agreements with CPG and food service companies, marketing agreements, NDAs, MTAs.
• Provide practical, strategic counsel to the head of the business unit and his team including risk evaluation and mitigation strategies.
• Collaborate with business leads, Deputy General Counsel-Food Law, and external counsel in managing labelling, marketing claims, food safety, co-branding, privacy matters.
• Provide counsel in strategic investments and M&A opportunities.
• Develop and deploy new contract templates to meet evolving business needs.
• Collaborate with IP counsel in providing education, guidance & advice on patent, trademark, and trade secret law issues to business stakeholders.

Education and Experience:

• 10+ years of experience in commercial transactions including in-house. Experience working with or for an ingredient company or CPG business a plus.
• Law degree (JD) from top tier accredited US law school with a current good standing admission to at least one US state bar. 

Travel Requirement:

• Travel is required up to 10% / year
