Job Summary: 

The Junior Legal Counsel’s role is to provide a variety of support to Renewables NA on transactional matters, as described below, and provide a broad scope of support to the legal department. This position requires strong organizational and time-management skills, attention to detail and excellent communication and teamwork skills.  

 

The position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home.

 

Roles and Responsibilities: 

  • Support Repsol’ U.S. Renewable businesses, including drafting and negotiating agreements and documents relating to strategic cooperation, acquisitions, project developments, project financings, engineering, procurement and construction, offtake and operations  

  • Provide legal advice and support to business managers relating to all legal aspects of renewable power generation, including compliance with applicable laws and regulations.  

  • Coordinate with tax advisors 

  • Coordinate with the Finance team in connection with the financing of the projects (including debt and tax equity financings) 

  • Manage legal due diligence of projects.  

  • Negotiation, drafting and closing of complex commercial agreements relating to development of renewable power generation projects, financing and operation, including areas such as (i) M&A; (ii) joint venture formations and strategic cooperation; (iii) corporate formations, restructurings, and governance documents; (iv) project financings, including debt and tax equity financings; (v) engineering, procurement and construction; (vi) supply agreements; (vii) grid interconnection agreements; (viii) power purchase agreements (PPAs) and other offtake agreements; (ix) development services agreements; and • shared facilities agreements; (i) operation and maintenance agreements; and (x) other standard commercial contracts and corporate documents 

  • Analyze and interpret laws, statutes, and regulations; identify areas of compliance and potential vulnerability and risk. 

  • Contacting with landowners and negotiating lease agreements with the landowners for the installation of wind/solar farms, if instructed 

  • Ensure due diligence and compliance with governmental regulations and permits 

  • Assist all stakeholders with various information request 

  • Successfully complete special projects and other assignments as requested 

 

Qualifications 

  • Juris Doctorate from ABA accredited law school.  

  • Admission to practice law in at least one U.S. state.  

  • A minimum of 3 years of experience negotiating and drafting agreements relating to M&A, financing and other complex commercial agreements.  

  • A minimum of 3 years’ experience in legal matters relating to renewable power generation (wind experience is a plus) 

  • Experience in real estate is a plus, particularly in title matters 

  • Strong communication skills and a proven ability to advise business managers on complex legal matters 

  • Proven responsibility and organizational and time-management skills  

  • Attention to detail and accuracy  

  • Excellent written and verbal communication skills  

  • Solid computer skills and in-depth knowledge of relevant software, such as MS Office Suite  

  • Integrity, good judgment, and strong decision-making abilities  

  • Careful handling of confidential information  

  • Strong information-gathering and information-monitoring skills  

  • Initiative and flexibility
