Job Summary:

The Real Estate Legal Counsel’s role is to provide a variety of support to Renewables NA on real estate transactional matters, as further described below.  The Real Estate Legal Counsel is often required to work in a fast-paced environment that requires strong organizational and time-management skills, attention to detail, and excellent communication and teamwork skills. 

The position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home.

Responsibilities:

The Real Estate Legal Counsel provides a broad scope of support to the LCG legal department in support of Renewables NA.  The Real Estate Legal Counsel’s responsibilities include, among other things:

  • Provide legal advice regarding all aspects of renewable energy project development, construction, operation, acquisition, disposition, and financing, including, in particular:
    • preparation, negotiation (and dealing with execution and performance issues) of agreements related to the real estate involved in the development, construction and operation of renewable energy facilities (e.g., access agreements, leases, purchase and sale agreements, right of way agreements, crossing agreements, surface use agreements, road use agreements, mineral waivers, etc.);
    • legal analysis of title and survey matters and preparation of curative documentation;
    • resolution of title insurance coverage matters; 
    • providing support to financing activities (tax equity, minority equity and project financing)
    • providing support to development activities and procedures related to real estate
  • Provide legal advice on various aspects of renewable energy projects.
  • Maintain real estate corporate records, ensure retention of complete real estate records, and provide support for compliance with real estate contractual obligations and applicable law.
  • Interact and coordinate efforts with other internal teams
  • Coordinate efforts with the other legal teams
  • Identify critical project risk issues and communicate those risks to the appropriate members of the legal team
  • Conduct legal research and analysis
  • Efficiently manage outside counsel
  • Other tasks and projects as assigned

Job Specifications / Qualifications:

  • Juris Doctorate from ABA accredited law school;
  • Admission to practice law in at least one U.S. state, preferably in Texas;
  • A minimum of 3 years of experience negotiating, reviewing, preparing, and drafting real estate, survey, and title related documents and agreements;
  • A minimum of 2 years of experience in legal real estate matters relating to renewable power generation experience is a plus;
  • Strong title, survey, and real estate due diligence experience.
  • Experience in real estate aspects of project finance, non-recourse debt, and tax equity investments
  • Strong communication skills and a proven ability to advise business managers on complex legal matters;
  • Proven responsibility and organizational and time-management skills;
  • Attention to detail and accuracy;
  • Excellent written and verbal communication skills;
  • Solid computer skills and in-depth knowledge of relevant software, such as MS Office Suite;
  • Integrity, good judgment and strong decision-making abilities;
  • Careful handling of confidential information;
  • Strong information-gathering and information-monitoring skills;
  • Initiative and flexibility; and
  • Respectful of others and having excellent teamwork skills.
