The Role

Xos is hiring an experienced Commercial Counsel to join our Legal Team! As Commercial Counsel, you'll play a critical role in supporting Xos' commercial operations by drafting, negotiating, and managing contracts ensuring compliance with relevant laws and regulations, and mitigating legal risks in business transactions. This role requires someone with a strong business-oriented mindset who thrives in cross-functional environments. You'll collaborate closely with Sales, Procurement, Operations, Finance, and other internal teams to support business goals while protecting company interests. 



Responsibilities 

  • Contract Drafting & Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including customer contracts, supplier agreements, NDAs, licensing agreements, partnership agreements, and beyond.
  • Risk Management: Identify potential legal risks in business transactions and provide strategic recommendations to mitigate them.
  • Compliance & Regulatory Support: Ensure all contracts adhere to relevant laws, industry regulations, and internal policies.
  • Stakeholder Collaboration: Partner with sales, procurement, finance, and operations teams to provide legal guidance and structure deals that align with company goals.
  • Dispute Resolution: Support contract dispute resolution and manage risk exposure related to commercial agreements.
  • Legal Process Optimization: Develop and implement best practices for contract management, including standardizing templates and streamlining review processes.
  • Corporate Governance Support: Assist in legal matters related to commercial policies, data privacy, intellectual property, and regulatory compliance as needed.
  • Perform additional duties as assigned

 

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed to practice law in California or Tennessee.
  • 4+ years of experience in commercial law, with a focus on contract negotiation and business transactions.
  • Strong knowledge of commercial contracts, intellectual property, and regulatory compliance.
  • Practical, business-minded legal partner with excellent collaboration skills.
  • Strong business judgement and ability to offer solutions that balance legal and business needs.
  • Excellent verbal and written communication skills.
  • Responsive, proactive, and able to work independently in a fast-paced environment
  • Ability to manage multiple projects simultaneously under tight deadlines

 

Nice to Have (but not required):

  • Familiarity with automobile manufacturing and distribution regulations

 

 

 

 

 

Physical Demands 

This is primarily a sedentary role that requires prolonged periods of sitting at a desk, working on a computer, and attending virtual or in-person meetings, Occasional travel may be required for business needs. While performing the duties of this job, the employee is regularly required to talk or hear. Employees may experience extended screen time and are frequently required to speak or listen. Minimal physical exertion, through occasional movement within the office may be required. 

Work Environment 

This role may be based in either an office setting or a remote office environment. It involves working in a professional workspace equipped with standard office equipment such as computers, phones, and video conferencing tools. The environment is typically quiet, with occasional virtual or in-person team interactions.
